Legal · Draft for review
Terms
This is a plain-English business draft prepared for review. It is not legal advice and has not yet been reviewed by an attorney.
Last updated: October 2026
About these terms
Southern Haze Creative is a brand operated by Folio & Flow LLC (“we”, “us”). These terms apply to use of this website and to projects we undertake. Each project is also governed by its own proposal or service agreement, which sets out the scope, fees, deliverables, timelines and ownership specifics. If a proposal or service agreement conflicts with these terms, the proposal or service agreement controls.
Inquiries
Submitting a project inquiry does not create an agreement. We review each request and, if it looks like a good fit, follow up about scope and next steps. Any estimates are confirmed only in a written proposal.
Payment and launch
A deposit is required before project work begins. Unless otherwise stated in the applicable proposal or service agreement, the remaining project balance is due before final launch, publication, transfer or delivery of the completed project.
Southern Haze Creative will not launch, transfer or release final production files, credentials or deliverables while an outstanding final balance remains due.
Development, staging, preview and demonstration environments—including temporary URLs or subdomains provided through third-party platforms—are made available solely for review and testing during an active project. These environments may be restricted, unpublished or deactivated if a project is suspended, cancelled, abandoned or has an outstanding balance.
Temporary development or preview URLs are not intended to serve as the client’s permanent production website.
Approvals and changes
We may ask you to approve specific milestones, such as direction, design, content or the final site. Approvals are recorded with the name entered and the time. Requests made after an approval that materially change the agreed scope may be treated as additional work, which we will discuss with you before proceeding.
Deliverables and ownership
Subject to the applicable proposal or service agreement, final deliverables and the transfer of ownership of project-specific work occur only after the final balance has been paid in full.
Unless otherwise agreed in writing, Southern Haze Creative retains ownership of its reusable frameworks, templates, systems, prompts, methods, code components and other pre-existing or reusable intellectual property. Where such materials are included in your project, you receive the right to use them as part of the delivered work.
Publicity and portfolio use
We will feature completed work on our website, portfolio or social media only in line with the publicity permission you select and any terms in your project agreement. You can update your permission at any time by contacting us. Choosing not to allow publicity does not affect your ability to work with us.
Technology & creative resources
Depending on the project, we may build with third-party platforms such as Lovable, Squarespace, Wix or Framer, and may use creative and image sources such as Unsplash, Pexels, Adobe Stock, AI-generated or AI-assisted imagery and content, and other properly licensed client-provided or third-party resources. Not every project uses every platform or resource.
We do not own third-party platforms or assets. They remain subject to their own terms, licenses and privacy practices, and some may involve ongoing subscription or licensing costs, which will be identified where relevant. You are responsible for ensuring you have the rights to any materials you provide to us.
Website use
Content on this website, including case studies and artwork, is provided for information and may not be reproduced without permission.
